The Role (Part/Full-Time)
The Corporate & Commercial Lawyer will play a key legal advisory role within Finanzi Services Limited, supporting both internal operations and client engagements. The lawyer will be an integral part of the Corporate and Compliance team and work closely with senior management, compliance officers, and external legal advisors.
Key Responsibilities
- Draft, review, and advise on internal company contracts, NDAs, service agreements, and supplier/client engagements.
- Draft, review and vet client-related contracts including shareholder agreements, financing agreements, corporate, commercial contracts, and other legal agreements and documents.
- Ensure all legal documentation is compliant with applicable laws and best practices.
- Assist in structuring, re-structuring, and corporate governance projects for clients and internal group companies.
- Offer strategic legal guidance to both clients and company leadership
- Identify potential legal risks in business operations and implement solutions
- Monitor and interpret legislative and regulatory changes in Malta and other relevant jurisdictions by means of legal research and regulatory tracking.
- Summarise key legal developments and updates, providing internal briefings and alerts as needed to internal teams and clients.
- Develop and deliver internal legal guidance, summaries, and compliance checklists.
- Support the implementation of new legal or regulatory frameworks, particularly in corporate, tax, and AML compliance where necessary.
- Provide legal analysis and risk assessments related to company formations, mergers, and cross-border transactions.
- Liaise with external legal advisors on complex legal issues, litigation matters, or jurisdiction-specific legal advice for both internal and client matters.
- Ensure the legal accuracy and completeness of templates, policies, procedures and filings.
- Assist with the preparation or reviewing of regulatory submissions, legal responses, and liaising with authorities where require from various internal departments.
- Contribute to the continuous improvement of legal, corporate, and regulatory processes.
- Provide general legal advice and support to management and other departments as required.
- Handle miscellaneous legal matters relevant to the firm’s activities and its clients’ operations.

Mandatory Qualifications and Experience:
- Master’s degree in Law (LL.M. or equivalent) obtained from the University of Malta.
- Law degree from a recognized institution; admission to practice law in Malta is preferred.
- Minimum of 8 years’ experience in corporate and civil law.
- Proven experience and knowledge of the Companies Act.
- Having good understanding in the gaming or technology sectors would be considered an asset.
- Strong understanding of contract law, corporate governance, and regulatory compliance.
- Familiarity with data protection regulations and intellectual property law.
- Excellent analytical, communication, and negotiation skills.
- Be organised and able to perform in demanding transactions.
- Proven leadership abilities and experience managing legal teams.
- Ability to work independently and collaboratively in a dynamic environment.
- Proficient in the use of Microsoft Outlook/Office, CRM, database and information systems.
